By accessing, browsing, or using the website www.saamparktechnology.com or engaging any service provided by SAAMPARK Technology & Research Private Limited ("SAAMPARK", "we", "our", or "us"), you ("Client", "User", "you") agree to be legally bound by these Terms & Conditions along with our Privacy Policy and any other policies referenced herein.
If you do not agree with any part of these Terms, you must immediately discontinue use of our website and services. These Terms apply to all visitors, clients, and any other parties who interact with SAAMPARK Technology & Research.
Who can use our services
By proceeding, you confirm that:
- You have read and understood these Terms in full.
- You are legally authorized to enter into a binding agreement.
- You will comply with all applicable Indian and international laws.
- You will provide accurate and up-to-date information for all engagements.
Services Offered
What we provide
SAAMPARK Technology & Research offers professional IT services. Specific deliverables, timelines, and costs for each project are defined in a separate Statement of Work (SOW) or Service Agreement signed between SAAMPARK and the client. These Terms govern the overall relationship.

Service availability
SAAMPARK reserves the right to modify, suspend, or discontinue any service at any time with reasonable notice. We do not guarantee uninterrupted availability of any digital service and shall not be liable for temporary outages caused by maintenance, third-party infrastructure failure, or force majeure events.
User Obligations
Your responsibilities
When engaging SAAMPARK Technology & Research for any service, you agree to fulfil the following obligations to ensure a smooth project lifecycle and mutual professional respect.
You agree to:
- Provide complete, accurate, and truthful information when requested.
- Respond to project-related queries within agreed turnaround times.
- Deliver required assets (content, images, credentials) on schedule.
- Make payments in accordance with the agreed milestone schedule.
- Use delivered services only for lawful and ethical purposes.
- Not share login credentials, project files, or access tokens with unauthorized parties.
- Notify SAAMPARK immediately of any security breach or unauthorized access.
Prohibited activities
You must NOT:
- Use our services for any illegal, fraudulent, or defamatory activities.
- Attempt to reverse-engineer, copy, or redistribute SAAMPARK's proprietary systems.
- Use SAAMPARK platforms to distribute malware, spam, or harmful content.
- Infringe upon the intellectual property rights of SAAMPARK or any third party.
- Engage in any activity that disrupts, overloads, or damages our infrastructure.
- Misrepresent your identity or affiliation during any business engagement.
- Use our deliverables for purposes beyond the scope defined in the project agreement.
Intellectual Property
Ownership of work
All source code, designs, graphics, animations, documentation, and other deliverables created by SAAMPARK Technology & Research during an engagement remain the intellectual property of SAAMPARK until full payment has been received by the client.
Upon complete payment as per the agreed project scope, SAAMPARK grants the client a full, irrevocable, non-exclusive license (or full ownership transfer, as specified in the SOW) to use the deliverables for their intended commercial purpose.
SAAMPARK brand & assets
The SAAMPARK name, logo, tagline, website design, and all associated brand assets are the exclusive property of SAAMPARK Technology & Research Pvt. Ltd. You may not use, reproduce, or adapt these without written authorization.
Third-party assets
Projects may incorporate licensed third-party libraries, fonts, stock imagery, or plugins. The client is responsible for ensuring continued compliance with respective third-party licenses after project handover. SAAMPARK will disclose all third-party dependencies used.
Payment & Refunds
Payment terms
All project fees are agreed upon in writing before work commences. Payments are structured in milestones unless otherwise stated in the project agreement. SAAMPARK accepts payments via bank transfer, UPI, and other approved digital payment methods.

Late payments
Invoices not settled within the agreed due date may result in project work being paused. SAAMPARK reserves the right to charge a late fee of 2% per month on overdue balances. Persistent non-payment may result in contract termination and legal recovery proceedings.
Refund policy
Non-refundable situations:
- Advance/kickoff payment once project work has commenced.
- Completed milestones that have been approved by the client.
- Domain registration and hosting fees (subject to vendor policies).
- Work completed for scope change requests initiated by the client.
Refunds may be considered when:
- SAAMPARK fails to deliver agreed milestones within a mutually extended deadline.
- Project is cancelled before any billable work has been performed.
- Both parties mutually agree to terminate the agreement in writing.
Confidentiality
Mutual NDA
Both SAAMPARK and the client agree to treat all project-related information, business data, trade secrets, technical specifications, and financial terms shared during the engagement as strictly confidential. This obligation survives the termination of the engagement for a period of 3 years.
What is considered confidential
Portfolio exception
Unless the client explicitly requests otherwise in writing, SAAMPARK reserves the right to showcase completed projects (name, screenshots, brief description) in our portfolio, case studies, and marketing materials after the project has gone live.
Limitation of Liability
Disclaimer
SAAMPARK Technology & Research provides all services on an "as-is" and "as-available" basis. We make no warranties, express or implied, regarding the fitness of our deliverables for a particular purpose, merchantability, or uninterrupted operation.
Liability cap
SAAMPARK shall not be liable for:
- Loss of revenue, profit, data, or business opportunities.
- Damages arising from client-provided incorrect or incomplete information.
- Third-party service outages (hosting providers, APIs, payment gateways).
- Security breaches caused by client negligence or unauthorized access.
- Indirect, incidental, or consequential damages of any kind.
- Delays caused by client failure to deliver required assets on time.
In any event, SAAMPARK's total aggregate liability to the client shall not exceed the total fees paid by the client for the specific service that gave rise to the claim, in the three (3) months preceding the event.
Termination
Termination by client
The client may terminate a project engagement by providing 14 days written notice to SAAMPARK. All completed milestones up to the termination date are billable and must be settled in full. Advance payments for incomplete work will be evaluated on a case-by-case basis per the refund policy.
Termination by SAAMPARK
SAAMPARK reserves the right to immediately suspend or terminate services if the client: violates these Terms, fails to make payments, engages in illegal activity, or acts in bad faith. In such cases, SAAMPARK retains all payments received and ownership of incomplete deliverables.
Effect of termination
Upon termination:
- All outstanding balances become immediately due and payable.
- Client access to SAAMPARK systems and staging environments will be revoked.
- SAAMPARK will hand over all completed deliverables upon full payment.
- Confidentiality obligations continue for 3 years post-termination.
Governing Law & Disputes
Jurisdiction
These Terms & Conditions are governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in West Bengal, India.
Dispute resolution process
Amendments
SAAMPARK reserves the right to update or modify these Terms at any time. Significant changes will be notified via email or a prominent notice on our website. Your continued use of our services after any change constitutes your acceptance of the revised Terms.
